The exact scope of each project is determined by the proposal, invoice, order form, service agreement, or written scope provided to the client.
Anything not specifically included in the agreed scope is considered outside the scope of the project and may require an additional fee.
3. Project Scope
Each client engagement may have a different scope.
The services included in your project will be outlined in one or more of the following:
Proposal
Invoice
Order form
Service agreement
Statement of work
Email confirmation
Written project outline
If there is a conflict between these general Terms & Conditions and a signed client-specific agreement, the client-specific agreement will control for that particular project.
Requests for services, revisions, integrations, pages, automations, campaigns, functionality, or deliverables that are not included in the original scope may be quoted separately.
Pivot2Boss is not obligated to perform additional work without additional compensation.
4. Project Fees and Payment
Project, setup, installation, implementation, consulting, VIP Day, design, development, and customization fees compensate Pivot2Boss for reserving project capacity, planning, strategy, preparation, development, setup, and implementation.
Unless otherwise stated in writing, payment is due according to the schedule stated on your invoice, proposal, or service agreement.
Work may not begin until the required payment has been received.
Pivot2Boss may pause work or withhold delivery if payments are late, declined, disputed, reversed, or otherwise unpaid.
5. No Refund Policy
Project, Setup, and Implementation Fees
All project fees, setup fees, installation fees, implementation fees, consulting fees, VIP Day fees, deposits, and other one-time service fees are non-refundable once paid, except where otherwise required by applicable law.
These fees compensate Pivot2Boss not only for completed deliverables but also for:
Time reserved for your project
Strategy and planning
Project preparation
Research
Account configuration
Design and development
Automation setup
Administrative work
Internal resources
Lost availability for other client work
A client's decision to:
Change direction
Pause their business
Close their business
Rebrand
Stop using the system
Move to another provider
Move to another software platform
Cancel before project completion
Delay providing required materials
Decide they no longer need the service
does not create an entitlement to a refund.
Unused portions of a project fee are not considered account balances, cash equivalents, or refundable credits unless Pivot2Boss specifically agrees otherwise in writing.
Any credit offered by Pivot2Boss is a discretionary courtesy and does not change or waive this refund policy.
6. Annual Subscription and Platform Fees
Pivot2Boss may provide access to software, CRM tools, website hosting, automation tools, phone systems, AI services, marketing technology, or other platform services through an annual subscription.
Unless otherwise stated in writing:
Annual subscription fees are paid in advance and are non-refundable once paid, including if the client cancels, transfers their account, stops using the service, closes their business, or chooses another provider before the end of the annual term.
The annual payment reserves access for the full subscription period.
There are no prorated refunds for unused days, weeks, or months remaining in an annual subscription term, except where required by applicable law.
If a client chooses to leave Pivot2Boss before the end of a prepaid annual term, the client may continue using services through the end of the paid term, subject to these Terms, unless otherwise agreed in writing.
7. Monthly Recurring Services
Certain services may be billed monthly, including:
Software access
CRM access
Website hosting
AI services
Phone services
Text messaging services
Marketing management
Support
Maintenance
Consulting
Automation services
Other recurring services
Monthly fees are billed in advance.
Unless otherwise stated in a separate agreement, cancellation stops future renewals but does not create a refund for amounts already charged.
Partial-month refunds are not provided.
The client remains responsible for charges incurred before the effective cancellation date.
8. Renewal and Cancellation
Subscription services may renew monthly or annually depending on the plan purchased.
Clients are responsible for knowing their renewal date.
Cancellation requests should be submitted in writing before the next billing or renewal date.
Cancellation does not automatically entitle the client to a refund of payments already made.
For annual plans, cancellation prevents future renewal but does not result in a prorated refund of the current prepaid term.
Pivot2Boss may require reasonable notice before an account transfer, migration, cancellation, or shutdown can be completed.
9. Courtesy Credits
From time to time, Pivot2Boss may choose to provide a client with a courtesy credit toward future services.
A courtesy credit:
Is not a refund
Has no cash value
Cannot be redeemed for cash
Cannot be transferred to another person or company unless approved in writing
May be subject to an expiration date
May be subject to minimum project requirements
Applies only to eligible future Pivot2Boss services
Does not modify the original no-refund policy
Any courtesy credit must be documented in writing by Pivot2Boss to be valid.
10. Client Responsibilities
Successful implementation requires timely participation from the client.
The client is responsible for providing accurate and complete information needed for the project, including when applicable:
Business information
Logos
Brand assets
Images
Copy
Offers
Pricing
Testimonials
Login credentials
Domain access
DNS access
Calendar information
Email access
Phone information
Payment processor access
Third-party software access
Legal policies
Compliance information
Product information
Approval of project materials
The client is responsible for reviewing deliverables and notifying Pivot2Boss of corrections or requested revisions within the applicable project timeline.
Pivot2Boss is not responsible for delays caused by missing information, delayed approvals, unavailable client personnel, incorrect credentials, third-party access issues, or failure of the client to provide required materials.
11. Client Delays and Inactive Projects
Projects are scheduled based on anticipated client participation and availability.
If a client fails to provide requested information, content, access, approvals, or feedback, the project timeline may be extended.
A delayed or inactive project does not qualify for a refund.
Pivot2Boss may place inactive projects on hold and require rescheduling based on current availability before work resumes.
Significant delays may result in additional fees if substantial rework, project management, software changes, or rescheduling are required.
12. VIP Days and Scheduled Implementation Days
Certain Pivot2Boss projects may be completed through a scheduled VIP Day or dedicated implementation day.
Because dedicated project time is specifically reserved for the client, VIP Day payments are non-refundable.
Clients are responsible for providing all requested materials and access before their scheduled implementation date.
Failure to provide the necessary materials may reduce the amount of work that can reasonably be completed during the reserved time.
13. Revisions and Change Requests
Pivot2Boss will provide the revisions specifically included in the client's purchased package or proposal.
Requests that materially change the original direction, scope, functionality, structure, integrations, pages, automations, or strategy may be considered additional work.
Additional work may require:
A new quote
Additional project fees
A change order
A new VIP Day
Additional hourly work
A separate service agreement
Pivot2Boss is not required to perform unlimited revisions unless specifically agreed to in writing.
14. Website Services
Website services may include design, development, installation, migration, hosting, domain connection, integrations, forms, automations, or other functionality described in the project scope.
The client is responsible for approving:
Website copy
Images
Pricing
Claims
Offers
Contact information

Disclaimers
Industry-specific information
Pivot2Boss does not guarantee that a website will generate a specific number of leads, customers, bookings, sales, or revenue.
15. CRM and Automation Services
Pivot2Boss may configure CRM systems, workflows, pipelines, email campaigns, SMS messages, reminders, forms, calendars, and automated follow-up systems.
Automations are configured based on information available at the time of implementation.
The client is responsible for reviewing and testing the system before relying on it for live business operations.
Changes made by the client or a third party after implementation may affect system functionality.
Pivot2Boss is not responsible for failures caused by unauthorized edits, deleted workflows, changed settings, third-party platform changes, expired credentials, disconnected integrations, or modifications made outside Pivot2Boss.
16. AI Tools and AI Receptionist Services
Pivot2Boss may provide or configure AI-powered tools such as:
AI receptionists

Clients are responsible for reviewing, monitoring, testing, and supervising AI systems used in their business.
Pivot2Boss does not guarantee that an AI system will respond perfectly to every caller, visitor, prospect, or situation.
AI tools should not be used as substitutes for qualified legal, medical, financial, emergency, or other professional advice.
17. Phone, SMS, and Email Services
Clients using phone, SMS, email, AI calling, or marketing communication services are responsible for ensuring their communications comply with applicable laws, consent requirements, carrier requirements, platform rules, and industry regulations.

AI providers
Payment processors
Calendar providers
Social media platforms

Pivot2Boss does not control third-party platforms and cannot guarantee their availability, pricing, features, functionality, policies, or continued operation.
Pivot2Boss is not responsible for outages, service interruptions, price increases, policy changes, account suspensions, delivery failures, software bugs, or technical limitations caused by third-party providers.
Third-party fees may be billed separately and are the client's responsibility unless specifically included in writing.
19. GoHighLevel and Software Access
Many Pivot2Boss marketing systems are built using GoHighLevel or related technology.
Clients may receive software access through Pivot2Boss or may maintain their own software account.
Software pricing, features, policies, and availability may change over time.
If a client chooses to move from Pivot2Boss to their own GoHighLevel account or another provider, Pivot2Boss will make commercially reasonable efforts to facilitate the transfer of eligible account assets.
The client is responsible for obtaining and paying for their new software account and any third-party services required after transfer.
Not every asset, feature, integration, phone number, domain, email configuration, third-party connection, or software setting may be transferable.
Transfer or migration work outside the original project scope may require an additional fee.
20. Account Transfers and Offboarding
Clients may request to move eligible assets to another account or provider.
Before a transfer can occur:
The client's account must be current
All outstanding invoices must be paid
The client must establish any required replacement software accounts
Required transfer information must be provided
Applicable third-party requirements must be satisfied
Pivot2Boss will not intentionally withhold client-owned assets solely because a client chooses to leave.
However, proprietary Pivot2Boss systems, templates, licensed assets, internal processes, software, snapshots, frameworks, training, or intellectual property are not automatically transferred unless specifically included in the client's agreement.
Account transfers do not create an entitlement to a refund of prepaid project or subscription fees.
21. Ownership of Client Materials
Clients retain ownership of materials they provide to Pivot2Boss, including their:
Logo
Brand assets
Original photographs
Original copy
Business information
Customer data
Client-created content
Upon full payment, the client may use the final custom deliverables created specifically for their business, subject to any third-party licenses and Pivot2Boss intellectual property provisions contained in these Terms.
22. Pivot2Boss Intellectual Property

Templates
Frameworks
Processes
Strategies
Workflows
Automation structures
Snapshots
Training materials
Guides
Systems
Checklists
Proprietary methodologies
Reusable code or design elements

Marketing frameworks
Purchasing a Pivot2Boss service does not transfer ownership of Pivot2Boss's underlying proprietary tools or intellectual property.
Clients receive the right to use deliverables provided for their business as permitted by their specific agreement.
23. No Guarantee of Results
Pivot2Boss does not guarantee any specific:
Revenue
Sales
Leads
Customers
Appointments
Conversion rates
Rankings
Traffic
Return on investment
Business growth
Marketing performance
Financial outcome
Marketing and business results depend on many factors outside Pivot2Boss's control, including the client's offer, market, pricing, reputation, traffic, sales process, follow-up, customer service, competition, economic conditions, implementation, and continued use of the system.
Examples, projections, testimonials, case studies, and past client results are illustrative only and do not guarantee future results.
24. Strategy and Consulting

The client remains responsible for final business decisions.
Pivot2Boss does not provide legal, accounting, tax, investment, medical, financial, or regulatory advice.
25. Client Approval
Clients are responsible for reviewing and approving materials before publication or launch.
Approval may be provided through email, messaging, project software, meetings, or other written communication.
Once a client approves content, design, automations, campaigns, integrations, or other deliverables, Pivot2Boss is not responsible for issues that were visible or reasonably discoverable during the client's review.
26. Errors and Technical Issues
Pivot2Boss will make reasonable efforts to correct technical issues caused directly by its original implementation when those issues are reported within the applicable support period.
Additional fees may apply for issues resulting from:
Client modifications
Third-party modifications
Platform updates
New integrations
Expired accounts
Changed passwords
Disconnected services
Deleted assets
Changes made after project completion
No technology system can be guaranteed to operate without interruption or error.
27. Support
Support included with a project is limited to the support specifically described in the client's proposal, package, or service agreement.
Unless ongoing support is included in a paid recurring plan, completion of a project does not create an obligation for unlimited future support, troubleshooting, maintenance, updates, revisions, consulting, or training.
Additional support may be purchased separately.
28. Communication
Clients agree that Pivot2Boss may communicate with them regarding their account, project, billing, service updates, scheduling, implementation, and support through email, phone, text message, video meeting, or other reasonable business communication channels.
Clients are responsible for keeping their contact information current.
29. Chargebacks and Payment Disputes
Clients agree to contact Pivot2Boss first regarding billing or service concerns and allow a reasonable opportunity to address the issue before initiating a payment dispute or chargeback.
Initiating a chargeback does not automatically cancel a valid payment obligation or override these Terms & Conditions.
Pivot2Boss reserves the right to provide payment processors, banks, or financial institutions with relevant agreements, invoices, communications, project records, account activity, proof of delivery, and other documentation relating to a disputed transaction.
Nothing in this section limits any rights a client may have under applicable law.

Nonpayment
Repeated failed payments
Chargebacks
Abuse or harassment
Illegal activity
Misuse of services
Violation of platform policies

Termination for a violation of these Terms does not automatically entitle the client to a refund.
31. Limitation of Liability
To the fullest extent permitted by applicable law, Pivot2Boss will not be liable for indirect, incidental, special, consequential, punitive, reputational, or lost-profit damages arising from the use of or inability to use Pivot2Boss services.
Pivot2Boss is not responsible for lost revenue, lost leads, lost data, business interruption, missed opportunities, platform outages, third-party failures, or decisions made based on marketing systems or recommendations.
To the fullest extent permitted by applicable law, Pivot2Boss's total liability relating to a specific service will not exceed the amount actually paid to Pivot2Boss for the specific service giving rise to the claim.
32. Indemnification
To the extent permitted by applicable law, the client agrees to be responsible for claims, costs, losses, or damages arising from the client's:
Business practices
Products or services
Advertising claims
Content
Legal or regulatory violations
Unauthorized use of third-party intellectual property
Failure to obtain required marketing consent
Modifications to systems after implementation
This provision does not apply to liability that cannot legally be limited or shifted.
33. Force Majeure
Pivot2Boss will not be responsible for delays or failures caused by circumstances reasonably outside its control, including natural disasters, severe weather, illness, internet outages, power outages, cyber incidents, government action, labor disruptions, third-party platform failures, or similar events.
34. Changes to Services
Pivot2Boss may update, improve, replace, modify, or discontinue services, software, platforms, packages, or features when reasonably necessary.
Changes to third-party platforms may require changes to a client's marketing system.
Additional work caused by significant third-party changes may require additional fees.
35. Changes to These Terms
Pivot2Boss may update these Terms & Conditions from time to time.
Updates will be posted with a revised "Last Updated" date.
Changes apply prospectively to future purchases, renewals, services, or continued use to the extent permitted by applicable law and applicable agreements.
Material changes to an existing contractual relationship will not automatically override a separate signed agreement unless permitted by that agreement or otherwise agreed by the parties.
36. Entire Agreement
These Terms, together with any applicable proposal, invoice, order form, statement of work, or signed service agreement, represent the agreement between Pivot2Boss and the client regarding the purchased services.
